TERMS OF USE AND SERVICE AGREEMENT — BACKLIA.COM

Courtesy translation. This document is an English translation provided for convenience only. In the event of any discrepancy, ambiguity or conflict of interpretation, the Portuguese version ("TERMOS DE USO E CONTRATO DE PRESTAÇÃO DE SERVIÇOS — BACKLIA.COM") shall prevail.

By this private instrument of service agreement and terms of use, on one side, Global Innovation Technology Ltda., a private legal entity established in the city of São Paulo, State of São Paulo, Brazil, hereinafter referred to simply as GLOBAL INNOVATION TECHNOLOGY, the CONTRACTOR or the maintainer of Backlia.com; and, on the other side, as the CLIENT, the natural person or legal entity, or its legal representative, who registers, contracts, makes payments, submits URLs or uses the services made available through the website Backlia.com and its respective domains, subdomains, language versions, panels, systems and related environments, have agreed as follows.

Backlia.com is a digital service maintained by Global Innovation Technology Ltda., having no legal personality of its own, no separate corporate entity, no separate tax registration and no autonomous legal existence apart from its maintainer.

By accessing, contracting, subscribing to or using Backlia.com, the CLIENT declares that they have read, understood and fully accept these Terms of Use and Service Agreement. If the CLIENT does not agree with any provision set forth herein, the CLIENT must not use the service.


1. Definitions

For the purposes of this instrument, the following definitions apply:

Backlia.com or Backlia: a digital service maintained by Global Innovation Technology Ltda., dedicated to the creation, processing, optimization, publication and technical distribution of backlinks, URLs, content and metadata for purposes of digital visibility, SEO, AEO and GEO.

CONTRACTOR: Global Innovation Technology Ltda., maintainer of Backlia.com.

CLIENT: a natural person or legal entity, or its authorized representative, who contracts, uses or submits URLs, data or content to Backlia.com.

URL: the electronic address provided by the CLIENT for promotion, processing, publication or generation of Backlia Backlinks.

Backlia Backlink or Backlia: an entry, publication, page, file, record, link, technical representation, metadata or derivative content generated by the service from a URL or information provided by the CLIENT.

SEO: optimization aimed at traditional search engines.

AEO: optimization aimed at answer engines, digital assistants and systems capable of extracting answers from structured content.

GEO: optimization aimed at generative artificial intelligence engines and systems based on language models.

Third-party systems: search engines, artificial intelligence assistants, indexing robots, crawlers, LLM providers, APIs, aggregators, search platforms, external networks, browsers, automated systems and any platforms not directly controlled by the CONTRACTOR.


2. Subject matter

The subject matter of this agreement is the provision, by the CONTRACTOR, of the service named Backlia.com, consisting of the creation, processing, optimization, organization, publication and technical distribution of URLs, backlinks, data, metadata and content derived from websites, pages, products, articles, blogs, media channels, social networks, e-commerce stores, portfolios or other digital addresses indicated by the CLIENT.

The purpose of the service is to expand the technical surface of discovery, reading, structuring and interpretation of the content indicated by the CLIENT by search engines, artificial intelligence assistants, indexing robots, answer engines, generative systems, APIs, crawlers and, eventually, by human readers.

The service may involve the generation and publication of technical versions in multiple formats, including, but not limited to, TXT, JSON, JSON-LD, XML, HTML, HTML Source, Markdown, structured metadata, schema, automatic summaries, inferred keywords, entities, technical descriptions and other formats compatible with search and artificial intelligence systems.

Contracting Backlia.com does not represent, under any circumstances, a promise, guarantee or obligation to obtain traffic, ranking, citation by artificial intelligence, indexing, ingestion into AI model training, authority improvement, commercial conversion, sales, leads, search engine positioning or any specific result on third-party platforms.


3. Basic operation of the service

The service generally operates through the following steps:

a) the CLIENT provides the URL or set of URLs they wish to promote, optimize or transform into Backlia Backlinks;

b) Backlia.com accesses, reads, interprets, processes and technically organizes the content available at the indicated URL, where technically possible;

c) the system generates publications, files, metadata, structures and technical representations aimed at reading by search engines, AI assistants, answer engines and automated systems;

d) the processed content may be published in the CONTRACTOR's own environments, technical pages, distribution networks, indexable systems, sites maintained or operated by the CONTRACTOR, directories, structured formats and other digital means defined by the CONTRACTOR;

e) depending on the contracted plan, the CLIENT may monitor, manage, pause, replace or view certain information through a control panel, where available.

The CLIENT understands that the final structure of the content generated by Backlia.com may differ from the visual, aesthetic or editorial presentation of the original page, since the primary objective of the service is technical readability, structuring and compatibility with search engines, AI assistants and automated systems.


4. Publication and distribution network

The CONTRACTOR may publish, distribute, replicate or disseminate Backlia Backlinks across its own, partner, technical or operational network composed of sites, domains, subdomains, pages, directories, engines, formats, files, data environments, indexing systems and other digital means.

The composition of this network may vary over time, with the inclusion, removal, replacement, alteration, migration or discontinuation of sites, domains, systems or environments, without the need for individual listing in this agreement and without this constituting a breach of contract.

The CONTRACTOR is not obliged to publicly disclose the complete list of sites, domains, subdomains, directories, engines, systems or environments in which Backlia Backlinks may be published, distributed, replicated, processed or made available.

The CONTRACTOR may, at its sole technical and operational discretion, expand, reduce, replace or reorganize its distribution network, provided that the general purpose of the contracted service is maintained.


5. Authorization for access, collection and processing

By providing a URL, the CLIENT expressly authorizes the CONTRACTOR to access, read, collect, technically copy, interpret, process, normalize, convert, summarize, transform, structure, publish and distribute the information available at the respective electronic address, to the extent necessary for the performance of the service.

This authorization includes, where applicable:

a) automatic content extraction;

b) creation of derivative files and pages;

c) generation of metadata;

d) creation of technical summaries;

e) inference of keywords, entities, titles, descriptions and classifications;

f) adaptation of content to formats compatible with search engines and artificial intelligence;

g) publication of publicly accessible technical versions;

h) distribution across the CONTRACTOR's own, partner or operational network.

The CLIENT declares that they hold sufficient authorization, ownership, usage rights or legitimacy to indicate the URLs submitted to Backlia.com.


6. Responsibility for submitted content

The CLIENT is solely and exclusively responsible for the lawfulness, truthfulness, authorship, ownership, quality, currency, accuracy and adequacy of all content, URLs, data and information submitted to Backlia.com or collected from URLs indicated by the CLIENT.

It is the CLIENT's exclusive responsibility to ensure that the indicated content:

a) belongs to the CLIENT or is duly authorized for publication;

b) does not violate copyrights, trademarks, patents, trade secrets, image rights, personality rights or any third-party rights;

c) does not infringe personal data protection, privacy, confidentiality or secrecy rules;

d) does not contain false, misleading, fraudulent, unlawful, defamatory or abusive information;

e) does not violate laws, regulations, sector policies or determinations of competent authorities.

The CONTRACTOR does not perform mandatory prior review of the legality, merit, truthfulness or ownership of the content indicated by the CLIENT, limiting itself to the technical provision of the contracted service. Nevertheless, it may review, suspend, block or remove content when it identifies legal, technical, reputational, operational or contractual risk.


7. Prohibited content

The CLIENT is prohibited from using Backlia.com to promote, publish, structure or distribute content that:

a) is illegal, unlawful, fraudulent, misleading or abusive;

b) violates copyrights, trademarks, patents, image, honor, privacy, confidentiality or trade secrets;

c) contains hate speech, racism, discrimination, threats, harassment, incitement to violence or defamatory content;

d) involves sexual exploitation, illegal pornography, child abuse or any sexually abusive material;

e) promotes terrorism, crime, fraud, scams, malware, phishing, social engineering, system intrusion or unlawful activities;

f) contains spam, abusive cloaking, deceptive redirects, low-quality affiliate pages, mass-generated content without legitimate value or practices intended to improperly manipulate search systems;

g) contains sensitive personal data, confidential information, financial data, credentials, personal documents or private information of third parties without a valid legal basis;

h) compromises the security, stability, reputation or operation of Backlia.com, the CONTRACTOR, third parties or any connected system;

i) is contrary to morality, good customs, the CONTRACTOR's internal policies or determinations of administrative, police, regulatory or judicial authorities.

The above list is merely illustrative. The CONTRACTOR may refuse, suspend or remove any content that, at its discretion, represents legal, technical, operational, reputational or commercial risk.


8. Removal, suspension and blocking

The CONTRACTOR may, at any time and without prior notice, remove, suspend, block, pause, unpublish or prevent the creation of Backlia Backlinks related to content, URLs, users or accounts that:

a) violate these Terms of Use;

b) violate applicable law;

c) are the subject of a substantiated third-party complaint;

d) are the subject of a judicial, administrative, police or regulatory order;

e) may pose a risk to the CONTRACTOR, Backlia.com, the publication network, users or third parties;

f) are considered spam, abuse, an attempt at improper manipulation or use incompatible with the purpose of the service.

In such cases, there shall be no obligation to refund amounts already paid, without prejudice to holding the CLIENT liable for losses, damages, costs, expenses, fees and penalties arising from their conduct.


9. Plans, quotas and features

Backlia.com may offer different subscription plans, with variations in price, number of Backlia Backlinks, priority, support, processing frequency, metadata enrichment, SEO, AEO and GEO coverage and other features.

The characteristics, limits and prices of each plan shall be those displayed on the plans page, in the subscription panel or in the commercial proposal in force at the time of contracting.

Plans may include, among others:

a) a monthly quota of Backlia Backlinks;

b) automatic monthly quota refresh;

c) access to a control panel;

d) automatic content extraction;

e) AI-compatible formats;

f) distribution to search engines;

g) compatibility with AI assistants;

h) basic or advanced metadata enrichment;

i) email support or priority support;

j) SEO, AEO and GEO coverage, according to the contracted plan.

Unused monthly quota may expire at the end of the respective cycle, unless expressly provided otherwise in the contracted plan.

The CONTRACTOR may change, create, discontinue, rename or reorganize plans, provided that the cycle already paid for by the CLIENT is respected, except in case of technical, legal, regulatory or security necessity.


10. Payment, renewal and default

The service is contracted through a monthly, yearly or other subscription modality made available by the CONTRACTOR.

Payment must be made in accordance with the prices, frequency, currency, billing method and conditions displayed at the time of contracting.

The subscription may renew automatically, according to the contracted modality, until the CLIENT requests cancellation or until a payment failure, suspension or termination occurs.

In the event of default, payment failure, improper dispute, chargeback, card expiration or impossibility of billing, the CONTRACTOR may:

a) suspend access to the panel;

b) pause active Backlia Backlinks;

c) downgrade the account to a lower or free plan, where available;

d) prevent the creation of new Backlia Backlinks;

e) keep published only the Backlia Backlinks compatible with the limit of the active plan;

f) cancel the subscription;

g) delete, pause or unpublish content, when necessary.

Backlia Backlinks exceeding the limit of the current plan may remain paused, hidden, inactive or unavailable, at the CONTRACTOR's discretion, and may be reactivated in the event of regularization, upgrade or new contracting, where technically possible.


11. Cancellation and absence of refund

The CLIENT may cancel their subscription at any time, through the means made available by the CONTRACTOR.

Cancellation will stop future charges but will not entail, except where expressly required by law, a proportional or full refund of amounts relating to the cycle already contracted, started, processed or paid.

The CLIENT acknowledges that the service is technical, digital, automated and immediately executed in nature, involving the processing, publication and distribution of data in the CONTRACTOR's own environments and potentially accessible to third parties, search engines, crawlers and automated systems.

For this reason, once the processing, generation, publication or distribution of Backlia Backlinks has begun, there shall be no guarantee of full reversal, total removal, de-indexing, deletion from third-party systems or refund of amounts already paid.

Nothing in this agreement excludes non-waivable consumer rights, where applicable by law. However, to the maximum extent permitted by applicable law, payments already made shall not be refundable on the grounds of withdrawal, frustrated expectations, absence of results, change of strategy, non-indexing, non-citation by AI, failure to obtain traffic or cancellation after the start of service performance.


12. Technical irreversibility and persistence on third parties

The CLIENT declares awareness that content published, structured, distributed or made available by Backlia.com may be accessed, read, stored, replicated, archived, indexed or processed by third parties outside the CONTRACTOR's sphere of control.

Even if the CONTRACTOR removes or unpublishes certain content from its own environments, it cannot guarantee:

a) removal of copies made by third parties;

b) de-indexing from search engines;

c) deletion of records in caches;

d) removal from external databases;

e) deletion of mentions in AI assistants;

f) removal of content from models, datasets, snapshots, crawlers or external archives;

g) complete reversal of the technical effects of the previous publication.

The CLIENT acknowledges that the eventual removal of content from environments controlled by the CONTRACTOR does not imply any obligation or ability to remove it from third-party platforms.


13. No guarantee of results

The CONTRACTOR does not guarantee, promise or assure:

a) indexing by Google, Bing, Yandex, DuckDuckGo or any other search engine;

b) citation by ChatGPT, Gemini, Claude, Copilot, Grok, Perplexity, Meta AI, Poe or any other AI assistant;

c) ingestion into training datasets;

d) ranking improvement;

e) traffic increase;

f) increase in sales, leads, contacts or conversions;

g) domain authority;

h) permanence in search results;

i) prominence in AI-generated answers;

j) display in SERPs;

k) any minimum performance or specific result.

Backlia.com works to expand the technical structure, readability, organization and discovery surface of the content indicated by the CLIENT, but decisions regarding crawling, indexing, citation, ingestion, ranking, display and relevance belong exclusively to third-party systems, which adopt their own autonomous and variable criteria.

Testimonials, statistics, simulations, case studies, commercial examples, promotional materials or indicators published by the CONTRACTOR represent general references or possible results and do not constitute an individual performance guarantee for any CLIENT.


14. Relationship with third parties and absence of official affiliation

The CLIENT declares awareness that the CONTRACTOR is not a representative, agent, official reseller, certified partner, affiliate, sponsored, accredited or endorsed by search engines, artificial intelligence companies, LLM providers, social networks, search platforms, browsers, digital assistants or any third-party systems, unless expressly declared otherwise.

The use of names such as Google, Bing, OpenAI, ChatGPT, Gemini, Claude, Copilot, Grok, Perplexity, Meta AI, Poe, Yandex, DuckDuckGo or others eventually cited is merely descriptive, informative or technical in purpose, with such trademarks belonging to their respective owners.


15. Availability, maintenance and operational limitations

The CONTRACTOR will use reasonable efforts to keep Backlia.com operational, but does not guarantee uninterrupted availability, absence of failures, permanent compatibility, error-free operation or continuity of any specific feature.

The service may experience interruptions, limitations, delays or unavailability due to:

a) scheduled or emergency maintenance;

b) infrastructure failures;

c) unavailability of providers, networks, data centers, APIs or external services;

d) attacks, security incidents or force majeure events;

e) technical updates;

f) changes to search engines, AI systems or third-party policies;

g) the need to protect the platform itself.

Unless otherwise provided in a specific written agreement, Backlia.com has no SLA, minimum availability guarantee, maximum processing time, fixed response time or obligation to provide compensation for unavailability.


16. Panel, metrics and statistical information

Where available, the Backlia.com control panel may display operational information, statistics, URL status, created Backlia Backlinks, quotas, history, metrics or reference data.

Such information is merely indicative and may present discrepancies, delays, estimates, technical limitations or differences in relation to data presented by third-party platforms.

The CONTRACTOR does not guarantee absolute accuracy, completeness, real-time updates or equivalence between Backlia.com's internal metrics and the metrics of search engines, AI assistants, analytics, SEO tools or external platforms.


17. CLIENT's obligations

The CLIENT's obligations are to:

a) provide true, complete and up-to-date information;

b) keep their registration and payment data up to date;

c) indicate only URLs that they control or are authorized to promote;

d) not use the service for spam, fraud, abuse, improper manipulation or unlawful purposes;

e) respect third-party rights;

f) not attempt to exploit, intrude into, overload, improperly copy, abusively automate or compromise Backlia.com;

g) not submit prohibited content;

h) keep their own copies of any content they consider important;

i) monitor their subscription, plan, quota, payments and publications;

j) be liable for complaints, notifications, costs, damages or losses arising from the indicated content.


18. CONTRACTOR's obligations

The CONTRACTOR's obligations are to:

a) provide the contracted service in accordance with the current plan;

b) make available, where applicable, means for submitting or managing URLs;

c) process and publish Backlia Backlinks in accordance with its own technical criteria;

d) use reasonable efforts to keep the service operational;

e) process personal data in accordance with applicable law;

f) communicate relevant changes by electronic means, when necessary;

g) evaluate complaints, reports or removal requests when received through an official channel.

The CONTRACTOR is not obliged to provide SEO consulting, website development, hosting, maintenance of the CLIENT's website, correction of errors on the original page, editorial production, legal review, reputation management, removal of results on third parties or technical support outside the scope of the contracted plan.


19. Intellectual property

The CLIENT retains whatever rights they hold over the original content indicated through the URLs submitted to Backlia.com.

By using the service, the CLIENT grants the CONTRACTOR a non-exclusive, royalty-free, worldwide license, transferable within the CONTRACTOR's operational network, for the period necessary for the performance of the service, to access, technically copy, process, convert, summarize, structure, publish, distribute and display content derived from the indicated URL.

The systems, methods, layout, trademarks, code, databases, architecture, automations, processing models, technical structures, panels, documents, generated files, organization and proprietary elements of Backlia.com belong to the CONTRACTOR or its licensors, and their copying, reverse engineering, reproduction, exploitation or unauthorized use is prohibited.


20. Data retention, backups and preservation

The CONTRACTOR assumes no obligation of permanent storage, historical backup, definitive archiving or continuous preservation of the CLIENT's content beyond what is necessary for the regular performance of the service.

The CLIENT is responsible for keeping their own copies of their sites, pages, content, files, texts, descriptions, images, products and other materials.

The publication of Backlia Backlinks must not be interpreted as a hosting, backup, digital preservation, legal archiving or disaster recovery service.


21. Personal data protection

The CONTRACTOR will process personal data in compliance with Brazilian Law No. 13,709/2018, the General Personal Data Protection Law — LGPD, and, where applicable, with other data protection regulations.

The personal data processed may include, as the case may be:

a) name or corporate name;

b) email;

c) telephone;

d) registration data;

e) billing data;

f) subscription information;

g) submitted URLs;

h) operational metadata;

i) technical logs;

j) access records;

k) information necessary for security, fraud prevention and contract performance.

The purposes of processing include:

a) performance of the agreement;

b) account creation and maintenance;

c) billing and invoicing;

d) support;

e) communication with the CLIENT;

f) fraud prevention;

g) platform security;

h) compliance with legal and regulatory obligations;

i) service improvement;

j) generation and maintenance of the contracted Backlia Backlinks.

Payment data may be processed by intermediaries, gateways, acquirers, sub-acquirers or external payment platforms, and is not necessarily stored directly by the CONTRACTOR.

The CLIENT declares awareness that URLs submitted to Backlia.com may contain personal data or third-party information. In such cases, the CLIENT shall be responsible for ensuring a legal basis, authorization or legitimacy for the disclosure, processing and publication of such data.

The CONTRACTOR may use infrastructure, hosting, security, analytics, payment, automation, email, storage providers and other processors located in Brazil or abroad, subject to reasonable protection measures and applicable legal bases.

The data subject may request access, correction, updating, deletion, portability, anonymization, information about sharing or other rights provided by law, through the CONTRACTOR's official contact channel.

The deletion of certain data may prevent the continuity of the service, including when such data is necessary for account identification, billing, security, legal compliance or maintenance of Backlia Backlinks.


22. Cookie policy and similar technologies

Backlia.com may use cookies, pixels, identifiers, local storage, scripts, logs and similar technologies for:

a) essential operation of the site and panel;

b) authentication and security;

c) session maintenance;

d) language preferences;

e) performance analysis;

f) fraud prevention;

g) improvement of the user experience;

h) browsing statistics;

i) integration with third-party services, where applicable.

Cookies may be classified as:

a) necessary, indispensable for the operation of the service;

b) functional, intended to remember preferences;

c) analytical, intended to measure performance and usage;

d) security, intended to prevent abuse and fraud;

e) third-party, when linked to integrated external tools.

The user may configure their browser to block, refuse or delete cookies, being aware that this may compromise Backlia.com functionality.


23. Communications

The CLIENT accepts the registered email, the control panel, messages on the site itself, electronic notifications or other digital means informed by the CONTRACTOR as valid and sufficient communication channels.

Communications may be sent regarding:

a) billing;

b) renewal;

c) payment failure;

d) contractual changes;

e) support;

f) maintenance;

g) security;

h) plan changes;

i) suspension or removal of content;

j) operational information about the service.

The CLIENT is responsible for keeping their contact details up to date.


24. Changes to these Terms

The CONTRACTOR may change, update, replace or supplement these Terms of Use for legal, regulatory, commercial, technical, operational or security reasons.

Changes may be communicated by email, panel, publication on the site or other reasonable electronic means.

Continued use of Backlia.com after the publication or communication of changes shall be interpreted as agreement with the new version of the Terms.

If the CLIENT does not agree with the changes, they must stop using the service and request cancellation of the subscription.


25. Limitation of liability

To the maximum extent permitted by applicable law, the CONTRACTOR's total liability to the CLIENT, for any claim, damage, loss, expense or dispute related to Backlia.com, shall be limited to the amount equivalent to one monthly fee of the contracted plan in force at the time of the event giving rise to the claim.

The CONTRACTOR shall not be liable for:

a) loss of profits;

b) loss of revenue;

c) loss of traffic;

d) loss of ranking;

e) loss of opportunity;

f) loss of chance;

g) indirect damages;

h) special damages;

i) moral damages arising from content submitted by the CLIENT;

j) damages caused by third parties;

k) decisions of search engines, AI assistants or external platforms;

l) unavailability of third-party systems;

m) copies, caches, indexing, training, mentions or replications carried out outside its controlled environments.

The CLIENT agrees to indemnify the CONTRACTOR for losses, damages, costs, expenses, fees, penalties, claims or actions arising from submitted content, violation of these Terms, infringement of third-party rights or misuse of the service.


26. Term and termination

This agreement shall remain in force for an indefinite period from the moment of electronic acceptance by the CLIENT, remaining valid as long as there is use of the service, an active account, a current subscription, maintained publications or pending obligations.

The CONTRACTOR may terminate, suspend or limit the agreement and the service in the event of:

a) default;

b) violation of these Terms;

c) abusive use;

d) order from a competent authority;

e) legal, technical, operational or reputational risk;

f) discontinuation of the service;

g) technical or commercial impossibility of continuity.

Termination shall not affect payment obligations already incurred, limitations of liability, intellectual property clauses, confidentiality provisions where applicable, data protection rules, indemnification obligations and other clauses that, by their nature, must survive termination.


27. Forbearance

Any forbearance, omission or leniency by the CONTRACTOR regarding compliance with any provision of these Terms shall not constitute waiver, forgiveness, novation, contractual amendment or binding precedent.

The CONTRACTOR may demand full compliance with these Terms at any time.


28. General provisions

These Terms constitute the entire agreement between the parties regarding the use of Backlia.com, superseding prior understandings, proposals, communications or commercial materials that conflict with their provisions.

If any clause is deemed invalid, void or unenforceable, the remaining clauses shall remain valid and effective.

The CLIENT may not assign, transfer or sublicense their rights and obligations without the CONTRACTOR's authorization.

The CONTRACTOR may transfer, assign, reorganize or migrate the operation of the service in the event of corporate reorganization, operational change, acquisition, merger, spin-off, sale of assets or change in corporate structure.


29. Jurisdiction

To settle any disputes arising from these Terms of Use and Service Agreement, the courts of the Judicial District of São Paulo, State of São Paulo, Brazil, are hereby elected, with express waiver of any other, however privileged it may be, except where mandatory legal provision states otherwise.

And, being fairly agreed, the parties consider this instrument formalized through digital or electronic acceptance, contracting, payment, registration, submission of URLs or use of Backlia.com, taking effect from that moment.


SUMMARY TERMS OF USE

By using Backlia.com, the CLIENT declares that they understand and accept that the service is maintained by Global Innovation Technology Ltda. and consists of the creation, processing, publication and technical distribution of URLs, backlinks, metadata and content in formats aimed at search engines, AI assistants and automated systems.

The CLIENT declares that they will only submit URLs that they control or have legitimate authorization to promote, taking full responsibility for the legality, truthfulness, ownership and adequacy of the indicated content.

The CLIENT acknowledges that Backlia.com does not guarantee indexing, ranking, traffic, sales, leads, citation by AI, ingestion into language models or any specific result on third-party platforms.
